📝Seller Content & Intellectual Property Policy

1. Overview

AdaptiveShop allows Sellers to upload and manage product images, text, designs, artwork, marketing materials, and other content.

You are solely responsible for all content you upload or publish.

AdaptiveShop does not:

• Pre-screen Seller content
• Review or verify content for accuracy, originality, or IP rights
• Endorse any Seller content
• Act as the publisher or creator of Seller content

Any monitoring performed by AdaptiveShop is voluntary and does not create an obligation to continue monitoring.

2. Seller Content Ownership & License

2.1 You Retain Ownership

You retain ownership of:

• Product images, videos, graphics
• Product titles, descriptions, and marketing text
• Custom artwork, illustrations, and designs
• Storefront assets (banners, profile images, backgrounds)
• Logos, trademarks, and brand materials

2.2 License Granted to AdaptiveShop

By uploading content, you grant AdaptiveShop a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

• Display your content on product pages, storefronts, and dynamic links
• Reproduce, store, and distribute content to operate the Service
• Process content through AI systems for merchandising, recommendations, and optimization
• Use content in aggregated, anonymized analytics

This license continues for archived, cached, or publicly shared copies even after content is removed.

3. Seller Warranties & Responsibilities

You represent and warrant that:

• You own or have valid licenses/permissions for all content uploaded
• Your content does not infringe any third-party copyrights, trademarks, patents, trade secrets, publicity rights, or moral rights
• Your descriptions and marketing claims are truthful and not misleading
• Your content complies with applicable laws, regulations, and industry standards
• Your uploads are free of malware, viruses, or malicious code

You are solely responsible for verifying rights and permissions before posting any content.

4. Prohibited Content

You may NOT upload, display, or sell content or products that involve:

4.1 Intellectual Property Violations

• Counterfeit or replica goods
• Unlicensed copyrighted material
• Unauthorized use of logos, brand names, trade dress
• Unlicensed celebrity images or likenesses
• Fan art or derivative works without proper rights
• Infringing POD artwork or stolen designs

4.2 Illegal, Harmful, or Restricted Content

• Illegal goods or services
• Weapons, explosives, or hazardous materials
• Drugs, controlled substances, or paraphernalia
• Sexually explicit or pornographic material
• Hate speech, harassment, or violent content

4.3 Deceptive or Misleading Content

• False product claims
• Misleading pricing or bait-and-switch tactics
• Fake reviews or testimonials
• Fraudulent or scam materials

4.4 Other Prohibited Materials

• Recalled or unsafe products
• Stolen goods
• Medical devices requiring licenses
• Human remains or body parts
• Live animals

AdaptiveShop may remove prohibited content immediately without notice.

5. AI-Generated Content

AdaptiveShop may generate AI content (titles, descriptions, recommendations). By using such features, you acknowledge:

• AI output may be inaccurate, incomplete, or inappropriate
• AI output may unintentionally resemble existing copyrighted works
• You must review and approve all AI-generated content before publishing
• You are solely responsible for ensuring AI content complies with laws and IP requirements
• AdaptiveShop is not liable for damages arising from AI-generated content

If AI output is inaccurate or legally risky, you must edit or remove it.

6. Third-Party Licenses & Rights

6.1 Licensed Content

If using licensed assets (stock photos, fonts, artwork, music, etc.), you must:

• Maintain valid license documentation
• Comply with usage, attribution, and distribution restrictions
• Provide proof of licensing upon request

6.2 Public Domain or Creative Commons

You must:

• Verify public domain status or license validity
• Comply with attribution requirements
• Respect non-commercial or share-alike restrictions

7. DMCA & Copyright Claims

AdaptiveShop complies with the U.S. Digital Millennium Copyright Act (DMCA).

To report copyright infringement:

• Your name and contact information
• Identification of the copyrighted work
• URL or product ID of infringing material
• A statement of good-faith belief
• A statement under penalty of perjury that the information is accurate

Counter-Notification

If your content was removed and you believe this was a mistake, send a counter-notice to the same email with:

• Your contact information
• Identification of content removed
• Statement under penalty of perjury that removal was a mistake
• Consent to jurisdiction of the federal courts located in the Central District of California (Los Angeles County)
• Your signature

Repeat Infringers

AdaptiveShop may terminate accounts of repeat infringers or high-risk sellers.

AdaptiveShop's removal of content is not an admission of liability.

8. Trademark Policy

You may not use trademarks (logos, names, slogans) without authorization.

Prohibited uses include:

• Selling unauthorized branded merchandise
• Using brand names in titles or images without permission
• Implying affiliation with a brand
• Creating confusion about endorsement

9. Content Moderation & Enforcement

AdaptiveShop may, at its sole discretion:

• Review or monitor seller content

• Block storefront access
• Report illegal activity to authorities
• Modify or discontinue features

AdaptiveShop does not guarantee protection from claims or disputes.

AdaptiveShop's enforcement decisions are final.

10. Consequences of Violations

Violations of this Policy may result in:

• Immediate removal of content
• Warning or notice
• Temporary account suspension
• Permanent account termination
• Payout holds
• Referral to law enforcement
• Legal action by rightsholders

Severity is based on frequency and nature of violations.

11. Indemnification

You agree to indemnify, defend, and hold harmless AdaptiveShop and its founder, officers, employees, contractors, and affiliates from all claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your uploaded content
• Intellectual property infringements
• AI-generated content published under your account
• Violations of this Policy
• Customer or third-party disputes
• Legal claims relating to your products or listings

You agree that all claims related to Seller content shall be brought solely against AdaptiveShop as an entity, not against its founder or team members personally.

12. Limitation of Liability

To the maximum extent permitted by law, AdaptiveShop is not liable for:

• Loss of sales or business
• Loss of data or content
• Damage to reputation
• Platform downtime or technical issues
• Content removal or account suspension
• Intellectual property disputes
• AI-generated errors

AdaptiveShop's total liability shall not exceed the fees you paid to AdaptiveShop in the previous 12 months.

13. Changes to This Policy

AdaptiveShop may update this Policy at any time. Continued use of the Platform after changes constitutes acceptance of the updated Policy.
